standard terms & conditions, which are applicable if Notes are issued. Also
the Euro Commercial Paper Program includes various forms of Global Notes as
registered with the various clearing institutions. The Euro Commercial Paper
Program is not quoted at a Stock Exchange. The terms & conditions of this
program are laid down in the Prospectus.
