Summary of the resolutions and voting at DSM's Annual General Meeting of Shareholders 2020.
On behalf of Koninklijke DSM N.V. shareholders are cordially invited to our Annual General Meeting of Shareholders (AGM) on Thursday, 6 May 2021.
DSM attaches great value to communicating in a transparent way with its shareholders, and the AGM is an opportunity for you to exchange views with us. Unfortunately, at this moment the Covid-19 measures to protect the health and safety of all of us still don’t allow for a face to face meeting as we were used to in the past. We also have no assurance that meetings of the size of our meeting will be allowed and safe to organize by early May. We will therefore be holding a virtual meeting to protect the health and safety of everyone involved, in line with Dutch emergency legislation.
We are facilitating participation, asking questions and voting in the following ways:
Shareholders may participate in the meeting when:
They are a holder of Koninklijke DSM N.V. shares on Thursday 8 April 2021, following the processing of deposits and withdrawals as of that date (‘registration date’), and
They have notified their participation in the meeting no later than Thursday 29 April 2021.
Shareholders whose shares are registered in their name at IQ-EQ who wish to participate remotely should make this known to IQ-EQ by mail (PO Box 11063, 1001 GB Amsterdam) or e-mail no later than 17:00 CEST on Thursday 29 April 2021. Form A can be used for notification. Holders of registered shares will then receive an admission receipt from IQ-EQ.
Holders of deposit shares who wish to participate (remotely) should make this known via their intermediary no later than 17:00 CEST on Thursday 29 April 2021. Intermediaries must, no later than 13:00 CEST on Friday 30 April 2021, present a statement to ABN AMRO Bank N.V. (“ABN AMRO”), Equity Capital Markets / Corporate Broking, Gustav Mahlerlaan 10, 1082 PP Amsterdam (tel. +31 20 383 5454 / e-mail), identifying the number of shares presented for registration purposes, as well as full address details of the relevant shareholder(s). Notification is also possible via www.abnamro.com/evoting. Holders of deposit shares will then receive a registration number from ABN AMRO.
You can submit your questions upfront. You can ask a maximum of 5 questions by emailing us no later than 14:00 CEST on 3 May 2021. You must include your name and shareholder’s certificate number, which can be obtained from your bank. To facilitate a smooth and orderly process during the virtual AGM, DSM intends to publish the answers to the questions ahead of the meeting. In answering the questions, DSM may bundle similar questions. During the AGM a summary of the questions and answers will be given. When submitting your questions, please indicate whether you would like the opportunity to ask a follow-on question during the meeting. If you do, you will receive further details on how to participate via a video connection.
You can vote by written or electronic proxy either granted directly to our Notary or via www.abnamro.com/evoting. You may also vote during the virtual meeting via login on www.abnamro.com/evoting, unless the Shareholder’s Intermediary does not accommodate online voting. Upon registration to vote virtually via www.abnamro.com/evoting, a Shareholder will receive an email with a link to login to the online voting platform. After successful login and confirmation of the login via two factor authentication (by SMS verification), the Shareholder is automatically logged into the meeting. Further instructions may be provided via www.abnamro.com/evoting.

Virtual participation entails risks, as described in DSM’s Policy regarding the Virtual Annual General Meeting of Shareholders. Shareholders are therefore strongly encouraged to vote by written or electronic proxy if they wish to avoid such risks.

The DSM Supervisory Board as well as DSM’s management will also join virtually. Like last year we regret that we will be unable to offer our usual hospitality, informal access to DSM management and the opportunity to socialize with other shareholders, hopefully we will be able to do so again in 2022.
