Royal DSM, the global Life Sciences and Materials Sciences company, today provides the following information about the optional stock dividend for 2010.
The exchange ratio for the dividend in shares has been determined at 1 new ordinary share for every 48.077 existing ordinary shares. This exchange ratio is based on the volume weighted average price of all ordinary shares in DSM traded at NYSE Euronext on 16, 17, 18, 19 and 20 May 2011. The value of the stock dividend is equal to the value of the cash dividend (€0.95). The ordinary shares that constitute the stock dividend are entitled to any dividend for the financial year 2011 and to the dividends for subsequent financial years.
Both the dividend in cash and the dividend in shares will be made payable to shareholders from 25 May 2011. Around 39% elected for a dividend in shares resulting in 1,330,425 ordinary shares to be paid as stock divdend.
DSM will reallocate 1.33 million ordinary shares currently held in treasury to be distributed to shareholders who have chosen to receive the final dividend 2010 in shares. DSM held as at 31 December 2010 13.5 million ordinary shares in treasury as a result of a share buy-back program executed in 2007 and 2008. With the re-allocation of 1.33 million of ordinary shares DSM will be able to distribute the shares required for the optional stock dividend to shareholders without issuing new shares or buying shares in the market.
